Terms of Service
In short. ERPisy is billing, stock, accounts and GST software for shops, made and run by Kifayti Retail Private Limited. You own your business's data; we keep it safe and in India, use it only to run ERPisy for you, and never sell it. You remain responsible for your bills, your tax figures and your filings. Paid plans are not refunded except for a duplicate or failed payment.
These summaries help you read the terms; the numbered sections are what apply.
1. Agreement
These Terms of Service ("Terms") are a binding agreement between you, and the business you register or act for, and Kifayti Retail Private Limited ("Kifayti", "we", "us"), which owns and operates ERPisy at erpisy.com, in the ERPisy apps for Android and iPhone, and through ERPisy's APIs (together, the "Service").
You accept these Terms, and our Privacy Policy, which forms part of them, when you tick the box at sign-up, when you are added to a business that uses ERPisy and sign in, or when you otherwise use the Service. If you do not agree, do not use the Service. These Terms are an electronic record under the Information Technology Act, 2000 and need no physical or digital signature.
2. Definitions
- Business or Customer: the shop, firm or company that has an ERPisy account, including its outlets.
- User: a person the Business lets sign in: its owner, staff, accountant (CA) or anyone else it adds.
- Customer Data: everything the Business and its Users put into or create in the Service: products, stock, bills, invoices, payments, ledgers, GST data, and the details of the Business's own customers, suppliers and employees.
- End customer: a customer of the Business, such as a person a bill or a WhatsApp receipt is for.
3. Accounts and eligibility
- You must be at least 18 years old and able to enter a contract under Indian law, and, when you register a Business, have the authority to bind it.
- Give true and complete details at sign-up and keep them current. Keep your password and any one-time codes secret; you are responsible for what is done with your account. Tell us at once if you think it has been misused.
- The owner who signs up is the Business's administrator, and decides which Users may sign in and what each may see and do. The Business is responsible for its Users and for removing those who should no longer have access.
- A new Business gets a free trial (currently 30 days). When it ends, a paid plan is needed to keep using the Service.
4. The Service
ERPisy provides point-of-sale billing, sales and purchase documents, inventory, accounts, payments, GST returns and exports, reports, and related tools, as described on erpisy.com and in the apps. The Service works online: posting a bill or saving a document needs a connection to our servers. Features may be added, changed or retired over time (section 14).
5. Your responsibilities
- Put in only data you are allowed to hold and use. Where Customer Data includes personal data of your customers, suppliers or employees, you are responsible for having a lawful reason to collect and use it, including any notice or consent the Digital Personal Data Protection Act, 2023 requires of you.
- Check what you enter: prices, tax rates, HSN/SAC codes, customer GSTINs, stock and opening balances. The Service calculates from what it is given.
- Keep your own records as the law requires of your business. Export your data whenever you need to (section 10).
- Use the Service only for your Business's lawful internal purposes.
6. GST, e-invoices and compliance outputs
ERPisy prepares bills, tax invoices, GST summaries, return files, e-invoice and e-way bill data and similar outputs from your data. They are tools to help you comply; they are not tax, legal or accounting advice. You, and your accountant, remain responsible for checking them, for what is filed with the GST portal or any other authority, and for paying the right tax on time. Where ERPisy submits data to a government system on your instruction, the response of that system is outside our control.
7. WhatsApp messages
- ERPisy can send your end customers WhatsApp messages about their purchases and dues, from approved message templates: a receipt when a bill with the customer's mobile number is posted, and a payment reminder when you press Remind or when a reminder interval you chose for that customer comes round.
- By default these messages go from ERPisy's own WhatsApp Business number and name your shop. You may instead connect your own WhatsApp Business account through Meta's signup; messages then go from your number, and you can disconnect it at any time.
- Send messages only to customers who gave you their mobile number in the course of business with you, and stop when a customer asks you to. You can switch receipts off, and stop reminders for any customer, in ERPisy at any time.
- Messages are delivered by WhatsApp (Meta Platforms) under Meta's WhatsApp Business terms and policies, which you agree to follow. When you connect your own number, Meta's terms for that account apply to you directly, and Meta charges that account for its messages. Messages from ERPisy's number are charged as shown on the pricing page.
- We may pause or limit messages to protect the number's standing with Meta, for example if many customers block or report them, and Meta may refuse or delay any message. We do not promise that a message will be delivered or read.
- ERPisy does not send promotional messages on your behalf unless you choose a feature that does so and accept any further terms that come with it.
8. Plans, fees and payment
- Plans, prices, add-ons and their limits are shown on erpisy.com and in the app when you buy. Prices are in Indian rupees and GST is charged on top where it applies.
- Payments are taken by our payment partners (such as Razorpay). We do not see or store your full card or bank credentials.
- Plans run for the period bought and must be renewed to continue. If a plan lapses, the Business may be limited to reading and exporting its data until it is renewed.
- Fees are non-refundable, except where the law requires otherwise. A duplicate, incorrect or failed charge is refunded after we verify it, usually to the original payment method within 7 to 10 working days.
- We may change prices for future periods with reasonable notice; the price of a period already paid for does not change.
9. Your data and privacy
- The Business owns its Customer Data. You give us a limited licence to host, copy, process and transmit it only to provide, secure and support the Service, and as the law requires.
- For Customer Data that is personal data, the Business decides why and how it is used, and we process it on the Business's behalf. For the account details of Users, Kifayti decides. Our Privacy Policy says what we collect, why, where it is kept and how long.
- We do not sell Customer Data, use it for advertising, or look at it except to provide or support the Service, to keep it secure, when you ask us to, or when the law requires.
- Customer Data is stored in India.
10. Closing a business, retention and export
- You can export your data at any time while you can sign in.
- Indian law requires businesses to keep their books of account and the documents behind them for several years (for example, eight years under the Companies Act, 2013, with comparable periods under the CGST Act, 2017 and the Income-tax Act). When a Business closes, its data is therefore kept, safely and unused, for eight years from closing, so it can still be produced if asked for, and then deleted. A Business may ask for earlier deletion in writing, accepting that it then has to keep those records itself.
- See Data deletion for how to close a business or delete an account.
11. Acceptable use
Do not: break the law or help anyone else to; issue false or fake invoices or evade tax; upload malware; try to reach another Business's data, bypass access controls, probe or overload the Service; scrape it, resell it or build a competing product from it; use it to send spam or messages people have not agreed to receive; or misuse the WhatsApp features against Meta's policies. We may suspend access to stop a breach of this section.
12. Third-party services
The Service relies on providers such as Google Cloud (hosting and storage in India), Meta (WhatsApp), payment partners (such as Razorpay), and email delivery. Integrations you choose to connect are governed by their own terms as well. We are not responsible for a third party's service, but we choose providers with care and require them to protect data.
13. Intellectual property
ERPisy, its software, design, documentation and brand belong to Kifayti or its licensors. We give the Business a limited, non-exclusive, non-transferable licence to use the Service for its internal business during its plan. Feedback you give us may be used to improve the Service without obligation to you.
14. Availability and changes to the Service
We work to keep the Service available, fast and secure, but it is provided without a guaranteed uptime and may be interrupted for maintenance, updates or causes outside our control. We may change, add or retire features; where a change materially reduces what a paid plan includes, we will give reasonable notice.
15. Confidentiality
Each side keeps the other's non-public information confidential and uses it only for the purposes of these Terms, except where it is already public, was independently known, or must be disclosed by law.
16. Disclaimers
To the extent the law allows, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose, uninterrupted or error-free operation, or that its calculations, reports or compliance outputs suit your circumstances.
17. Limitation of liability
To the extent the law allows, Kifayti is not liable for indirect, incidental, special or consequential losses, or for lost profits, revenue, goodwill or data that could have been avoided by exporting it. Our total liability arising out of or relating to the Service in any twelve months is limited to the fees the Business paid us in those twelve months, or ₹5,000, whichever is higher.
18. Indemnity
The Business will compensate Kifayti for claims, penalties and costs arising from its Customer Data, its breach of these Terms or the law, or messages sent to its customers at its instruction.
19. Suspension and termination
You may stop using the Service at any time and ask us to close your Business. We may suspend or end access for non-payment, a serious or repeated breach of these Terms, or where the law requires, with notice where it is reasonable to give it. On closing, section 10 applies. Sections that by their nature should survive (including 9, 10, 15 to 18 and 20) survive.
20. Governing law and disputes
These Terms are governed by the laws of India. The parties will first try to settle a dispute in good faith within fifteen days of written notice. If they cannot, it will be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, in English, seated at Giridih, Jharkhand. Subject to this, the courts at Giridih, Jharkhand, India have exclusive jurisdiction.
21. Force majeure
Neither side is liable for delay or failure caused by events beyond its reasonable control, such as natural disasters, war, government action, or failures of power, networks or providers.
22. General
These Terms, with the Privacy Policy and any order or agreement signed with us, are the whole agreement about the Service; a signed agreement prevails where it differs. If a provision is unenforceable, the rest stands. You may not assign these Terms without our consent; we may assign them to a successor of the business. Notices to you may be sent to the email on your account.
23. Changes to these Terms
We may update these Terms. The date and version at the top say which apply. For a material change we will tell Business owners by email or in the app before it takes effect; continuing to use the Service after that means you accept the updated Terms.
